These Terms & Conditions (“Terms”) govern your access to and use of the SME SalesTeam website, applications, and related services (collectively, the “Platform”). By accessing or using the Platform, you agree to these Terms.
If you do not agree, do not use the Platform.
1) Definitions
“SME SalesTeam,” “we,” “us,” “our”: the operator of the Platform.
“User”: anyone who accesses or uses the Platform.
“Buyer” / “Client”: a business or individual that posts a sales project/job (“Gig”).
“Sales Talent” / “Freelancer”: a user who bids on, accepts, or performs work on a Gig.
“Gig,” “Project,” “Job”: a sales project posted on the Platform.
“Deliverables”: the work product or results required under a Gig.
“Milestones”: staged deliverables and approvals tied to payment releases, where applicable.
“Closed Deal”: a sale confirmed by deposit paid or invoice paid as defined in Section 7.4.
2) Platform role (marketplace, not an employer)
SME SalesTeam is a marketplace that connects Buyers with Sales Talents to execute sales tasks and projects. SME SalesTeam is not an employer of Sales Talents.
Sales Talents are independent contractors, not employees, agents, or partners of SME SalesTeam.
We are not a party to agreements between Buyers and Sales Talents unless explicitly stated in writing.
We do not guarantee income, leads, appointments, conversions, or business outcomes.
3) Eligibility
You must be at least 13 years old to use the Platform. If you are under the age of majority in your jurisdiction, you must have permission from a parent/guardian.
4) Accounts and user responsibilities
You agree to:
Provide accurate, current information and keep it updated.
Keep your credentials secure and not share your account.
Be responsible for all activity under your account.
We may suspend or terminate accounts for suspected fraud, abuse, or violations of these Terms.
5) Projects, verification, and “client-funded” listings
Buyers may post Projects and specify scope, requirements, deliverables, acceptance criteria, and budget.
The Platform may label projects as verified/client-funded or otherwise reviewed. However:
Verification does not guarantee success, performance, or outcomes.
Buyers remain responsible for the accuracy of project information and for timely decision-making and communication.
We may approve, reject, edit, suspend, or remove any project at our discretion.
6) Bidding, hiring, and contract formation
Sales Talents may submit proposals/bids.
A project is considered awarded when the Buyer hires/accepts a Sales Talent through the Platform (or as otherwise indicated by the Platform flow).
Buyers and Sales Talents are responsible for agreeing on deliverables, timelines, milestones (if any), and what proof is required for approval.
7) Payments, Fees, and Payouts
7.1 Payment processing
Payments may be processed through third-party payment processors. By using payment features, you also agree to the payment processor’s terms and policies.
7.2 Funding and payment flow
Buyers may be required to fund the project, milestone, or transaction amount in advance. Funds are released according to the approval rules set out in these Terms and the project’s requirements.
7.3 Sales Talent payout timeline
Payout is immediate upon Buyer approval of deliverables and/or Closed Deal evidence, subject to:
payment processor settlement times,
fraud/compliance checks,
technical issues beyond our control.
7.4 Definition of “Closed Deal”
For commission-based projects, a Closed Deal means either:
a deposit is paid, or
an invoice is paid,
for the sale connected to the Sales Talent’s work, as defined in the project scope.
Buyers must specify acceptable evidence for confirming a Closed Deal (examples include: payment confirmation, receipt, invoice reference, signed agreement plus proof of payment, or other verifiable proof).
7.5 Buyer approval and 3-day (72-hour) approval/dispute window
Buyers are responsible for reviewing submissions (deliverables and/or Closed Deal proof). The Buyer must either:
Approve, or
Raise a dispute,
within 3 days (72 hours) of the submission being marked as delivered/submitted on the Platform.
If the Buyer does not approve or dispute within 72 hours, the submission may be treated as approved, and payout may be released automatically at SME SalesTeam’s discretion.
7.6 Platform fees
By using the Platform, you agree to the following fees on applicable transactions:
(a) Sales Talent Service Fee (15%)
A 15% platform service fee is deducted from payouts owed to Sales Talents on approved transactions.
(b) Buyer Transaction Fee (5%)
Buyers pay a 5% transaction fee on payments processed through the Platform. This fee may be added on top of the project amount or included in the total shown to the Buyer before payment is completed.
Fees will be displayed before payment is finalized. We may update fees from time to time, but changes will not apply retroactively to already-funded transactions unless required by law or payment processors.
7.7 Taxes
Users are responsible for determining and paying applicable taxes, duties, or government charges related to their purchases or earnings unless we are legally required to collect or withhold.
8) Cancellations, refunds, disputes, and chargebacks
8.1 Cancellations and refunds
Refund eligibility depends on the funding status of the project/milestones and whether deliverables were approved. Fees may be non-refundable where permitted by law.
8.2 Disputes
If a Buyer disputes a submission or Closed Deal claim, the Buyer must raise the dispute within the 3-day (72-hour) window described above.
We may request evidence from both parties (e.g., messages, call logs, CRM notes, proof of payment, delivery confirmations) and may facilitate resolution. However, we do not guarantee outcomes and are not responsible for losses resulting from Buyer–Sales Talent disputes.
8.3 Chargebacks and payment reversals
If a payment is reversed or a chargeback is initiated:
payouts may be paused,
released payouts may be reversed where permitted,
accounts may be restricted or suspended,
additional verification may be required.
Users agree to cooperate with investigations related to chargebacks, fraud, and payment reversals.
9) Off-platform payments and circumvention
Where the Platform provides payment functionality, Users agree not to bypass the Platform to avoid fees for projects introduced through SME SalesTeam. Attempting to move payments off-platform to avoid fees may result in suspension or termination.
10) User conduct and prohibited activities
You agree not to:
Post illegal, misleading, or fraudulent content.
Harass, threaten, discriminate, or abuse other users.
Misrepresent identity, experience, pricing, or results.
Upload malware, scrape the Platform, or attempt unauthorized access.
Interfere with the Platform’s operation or security.
11) Content and intellectual property
The Platform (software, design, logos, branding) is owned by SME SalesTeam and protected by intellectual property laws.
Users retain ownership of content they post but grant SME SalesTeam a worldwide, non-exclusive, royalty-free license to host, reproduce, display, and distribute such content for the purpose of operating and improving the Platform.
We may remove content that violates these Terms.
12) Confidentiality
Users may receive confidential business information. You agree to:
Use confidential information only for the relevant project,
Not disclose it to third parties,
Return or delete it when the project ends, where feasible.
13) Disclaimers
The Platform is provided “as is” and “as available.”
We do not guarantee uninterrupted access or error-free operation.
We do not guarantee that projects will lead to sales, income, or business growth.
We are not responsible for the actions, promises, or performance of Buyers or Sales Talents.
14) Limitation of liability
To the maximum extent permitted by law:
SME SalesTeam is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill.
Our total liability for any claim relating to the Platform will not exceed the total fees paid to SME SalesTeam by you in the 3 months prior to the event giving rise to the claim, or KES 10,000 if none.
15) Indemnity
You agree to defend, indemnify, and hold harmless SME SalesTeam from claims, damages, liabilities, losses, and expenses arising out of:
your use of the Platform,
your breach of these Terms,
your content,
your disputes with other users.
16) Suspension and termination
We may suspend or terminate access if:
you violate these Terms,
we suspect fraud or abuse,
required by law or a payment processor.
You may close your account at any time, but obligations (unpaid fees, disputes, chargebacks) may survive termination.
17) Privacy and cookies
Your use of the Platform is also governed by our Privacy Policy and Cookie Policy (posted on the website), which explain how we collect, use, and protect personal data.
18) Governing law and jurisdiction
These Terms are governed by the laws of the Republic of Kenya, without regard to conflict-of-law principles.
You agree that any dispute, claim, or legal proceeding arising out of or relating to the Platform or these Terms will be brought exclusively in the courts of Kenya, with jurisdiction in Nairobi, unless mandatory consumer protection laws require otherwise.
Before filing a claim, you agree to first contact us and attempt to resolve disputes informally for at least 14 days.
19) Changes to these Terms
We may update these Terms by posting a revised version on the Platform. Continued use after changes means you accept the updated Terms.
